Terms of Service

1. What DiemSkin does

DiemSkin gives salons, spas, med spas, clinics and skincare brands ("Businesses") a branded AI skin scanner. The Business's customers take a photo, receive a cosmetic skin report, and see treatments or products chosen from the Business's own menu or catalog. The Business receives the customer's details and results in its dashboard.

2. Not medical advice

The skin analysis is a cosmetic assessment produced by artificial intelligence. It is not a medical diagnosis and is not a substitute for advice from a doctor or dermatologist. Results can be incomplete or wrong, and depend on the photo, lighting and camera. Businesses must not present the results as a medical diagnosis, and remain fully responsible for the treatments and products they offer, recommend, perform or sell, including deciding whether they are suitable for each customer.

3. Your account

• You must be at least 18 and give accurate account details, and keep them up to date.
• Keep your password secure. You are responsible for everything done through your account.
• Tell us right away at hello@diemskin.com if you think someone has accessed your account without permission.

4. Free trial

New accounts get a free trial of 20 scans with the full Service and no payment card. There is no time limit, and every scan counts, including your own test scans. We email you when 5 free scans are left. Once all 20 are used, your scanner pauses until you choose a paid plan; your dashboard, leads and reports stay available.

5. Plans, billing and cancellation

• Current prices are shown on our pricing page, in US or Canadian dollars. Taxes are added where required.
• Plans are billed in advance, monthly or yearly. Plans include unlimited scans for normal business use.
• There is no contract. You can cancel at any time and your plan stays active until the end of the period you have paid for.
• Payments are not refunded for partial periods, except where the law requires it.
• We may change prices with at least 30 days' notice by email. A new price applies from your next billing period.
• If a payment fails and is not fixed after we notify you, we may pause your scanner until it is.

6. Your content

Your logo, business details, services, products, prices, descriptions and photos ("Your Content") remain yours. You give us permission to store, copy and display Your Content only to run the Service for you, including on your scan pages, reports and emails. You confirm you have the right to use Your Content, including any product information and photos imported from your online store. When you ask us to import your store, you authorise us to read its public pages for that purpose. We may use AI to describe or tag your products and services; please check the results, because you remain responsible for what your scanner recommends.

7. Your customers' information

The Business decides why customer information is collected and how it is used. We process it on the Business's behalf to run the Service, as described in our Privacy Policy, which also explains how long photos and results are kept. As a Business you agree to:

• use customer information only for your own business and in line with applicable privacy laws;
• send marketing messages only to customers who agreed to receive them, and follow anti-spam laws such as Canada's Anti-Spam Legislation (CASL);
• honour customers' requests to access, correct or delete their information.

8. Acceptable use

You agree not to:

• use the Service for anything illegal, harmful, deceptive or discriminatory;
• scan anyone without their knowledge and agreement, or anyone under 16;
• copy, resell, rent or reverse engineer the Service, or use it to build a competing product;
• interfere with the Service, overload it, probe it for weaknesses, or get around any limits or security measures;
• upload content you do not have the right to use, or that is offensive or infringes anyone's rights.

To protect the Service for everyone, we may limit or pause activity that is far outside normal business use, such as automated or abusive scanning.

9. Our technology

The Service, including the software, AI analysis, report designs, website and all related rights, belongs to Diem Labs Inc.. While your account is active we give you a limited, non-exclusive, non-transferable right to use the Service for your business. If you send us ideas or feedback, we may use them without any obligation to you.

10. Availability and changes

We work to keep the Service available and secure, but we cannot promise it will always be uninterrupted or error-free. We may improve, change or remove features over time. If we make a change that significantly reduces what your paid plan includes, we will tell you in advance.

11. Suspension and closing your account

You can close your account at any time. We may suspend or close an account that breaks these terms, does not pay, or puts the Service, other users or the public at risk; where reasonable, we will warn you first. Before closing, export the leads you want to keep from your dashboard. After an account is closed we delete its data as described in our Privacy Policy, except what we must keep by law.

12. Disclaimer

Apart from what these terms expressly say, the Service is provided "as is" and "as available". To the extent the law allows, we make no other promises, including about the accuracy of skin results or about the sales, bookings or revenue you will achieve. Figures on our website, such as calculator results, are estimates based on the numbers you enter.

13. Limitation of liability

To the extent the law allows, Diem Labs Inc. is not liable for indirect, incidental, special or consequential losses, or for lost profits, revenue, data or goodwill. Our total liability for all claims relating to the Service is limited to the amount you paid us in the 12 months before the event that gave rise to the claim. Nothing in these terms limits liability that cannot be limited by law.

14. Indemnity

You agree to compensate Diem Labs Inc. for claims, losses and reasonable costs that result from Your Content, the treatments and products you offer, how you use your customers' information, or your breach of these terms.

15. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Any dispute will be handled by the courts of Ontario, and you and we agree to their jurisdiction.

16. Changes to these terms

We may update these terms from time to time. We will post the new version here with a new date, and tell account holders by email about important changes before they take effect. Continuing to use the Service after that means you accept the updated terms.
